Anything shared may be discoverable in court or regulatory investigations. AI “hallucinations” – plausible but false information – remain a danger.

The message is not to avoid AI, but to use it wisely. It should support, not replace, human judgment. Boards need clear policies on when and how AI is used, with a focus on confidentiality, verification, and legal exposure. For fast-growth tech firms, director expertise in AI is becoming a must, not a luxury.
